POSITION SUMMARY: 

NEW HEIGHTS BMC MEDIA guides brands, businesses, agencies and start-ups through the concept and development of user-friendly advertising & marketing products, promotions, and strategies that highlight the uniqueness of each brand’s proposition. 

BUSINESS LEGAL – CONTRACTS & BUSINESS AFFAIRS 

We are looking for a qualified candidate to function as the company’s general counsel and Head of Business & Legal Affairs, or legal department, providing general counsel and administrative/contract assistance for Business Affairs. Experience in an in-house corporate legal department or transactional (as opposed to litigation) law firm is a plus, as is entertainment industry experience. 

In this role, you will provide counsel on closing new business ventures, advertising & marketing sponsorships, and/or organizational partnering, as well as the service providers that serve those relationships. As the Head of Business & Legal Affairs, you will take the lead in all contract negotiations with those partners and service providers. After you close new partners and service providers, you will also ensure that operational deliverables are completed in accordance with the agreements and in legal compliance. 

Because of all the impactful work that will be required in this role, the Head of Business & Legal Affairs will be viewed as a valuable resource for functional leaders looking for advice on how to queue up legal issues to outside counsel. 

As general counsel and Head of Business & Legal Affairs, you will work closely with our Chief Operating Officer, and also collaborate on projects across all internal teams. Your forte will be effectively managing a number of fast-moving projects across various business lines, juggling multiple and diverse responsibilities, liaising with various team members at all levels in the different departments, tracking projects, and embracing all things Business & Legal Affairs. 

The Head of Business & Legal Affairs supports the sales agents by utilizing the law, contracts, and business judgment to help sales agents make the best deals for their clients. As general counsel, you also manage contractual relationships between the company and its clients, advising company executives in effectively balancing business and legal risks. 

ESSENTIAL FUNCTIONS (MAJOR DUTIES & RESPONSIBILITIES): 

Must be detail-oriented, personable, and able to work in a fast-paced environment. Primary responsibilities may include: 

▪ Providing heavy contract negotiation and administration 

▪ Interacting with agents, agency clients and internal/external executives 

▪ Organizing and maintaining all legal files and business contract logs 

▪ Reviewing all responses for requests for proposals 

▪ Drafting all agreements with all university partners 

▪ Drafting agreements with all outside service & technology providers 

▪ Providing oversight that all obligations with university partners and providers are being performed as contracted 

▪ Ensuring oversight for obligations such as GDPR, CCPA, FERPA, accessibility and university accreditation 

▪ Making improvements to our agreements as a result of relevant laws, regulations, and knowledge gained in negotiations 

▪ Working cross-functionally to update and revise all agreements accordingly 

▪ Managing workflows and output from contract lifecycle management systems 

▪ Ensuring proper tracking of contract responsibilities, as well as reporting such progress to senior management 

▪ Managing relationships with all company represented outside counsel and external resources 

▪ Overseeing budgets for outside counsel across departments to provide input on M&A, IP, litigation, legislation, employment law, trademarks, and intellectual property registrations, and all other specialized

▪ Analyzing, negotiating, and/or drafting agreements for broadcasting, digital technology, television distribution platforms, direct-to-consumer platforms, new media platforms, and intellectual property or related agreements 

▪ Analyzing, negotiating, and/or drafting a variety of complex legal agreements for Scripted, Unscripted, and Production related deals, including “above the line” talent deals, studio co-production deals, and license agreements 

▪ Respecting and maintaining the confidentiality and integrity of NEW HEIGHTS BMC. 

▪ Complying with and adhering to all NEW HEIGHTS BMC policies and procedures.
